Conditions for the Supply of Goods
Supply
All goods of Harbro Supplies Limited are sold upon the following terms and conditions which together with any particulars set out in Harbro Supplies Limited
quotation offer shall take precedent over any terms and conditions of the purchaser. No variation of these term and conditions shall be valid unless expressly
agreed in writing by Harbro Supplies Limited.
Prices
Any quotation is subject to acceptance within 30 days and based upon shipment of the goods as soon as possible. The price payable for the goods will be Harbro
Supplies Limited price for the products ruling at the time of shipment. All prices are subject to alteration without notice to the buyer. Harbro Supplies
Limited reserves the right to correct any clerical or typographical errors made by employees at any time.
Terms of Payment
Unless otherwise specifically agreed in writing, payment for products shall be made 30 days from the end of the month in which the goods are invoiced. Failure
to make payment shall entitle Harbro Supplies Limited to cancel further deliveries and apply any costs and expenses incurred by Harbro Supplies Limited up to
the date the goods be paid for in full by the customer.
Delivery
Any stated delivery date, period is given as a guide only and Harbro Supplies Limited shall be in no way liable for any loss or damage caused by, or resulting
from, inability to deliver, or delay arising from any circumstances which shall be beyond Harbro Supplies Limited control, however arising.
Unless otherwise agreed in writing by Harbro Supplies Limited, the delivery of goods shall be made by means most convenient to Harbro Supplies Limited, to the
address or addresses specified by the customer or (in the event that the customer fails to specify an address) to any address at which the customer resides
or carries on business and off-loading shall be at the customers risk.
Harbro Supplies Limited will endeavour to deliver the goods or complete the service by any date or within any period agreed upon, such dates and periods are
estimates given in good faith and Harbro Supplies Limited will not be liable for any failure to deliver or complete by such date or within such period.
Inspection
The buyer shall inspect the goods immediately on the arrival thereof and in the event of:
- Non-delivery of the whole consignment: Notify Harbro Supplies Limited in writing within 14 days of the date of invoice.
- Damage or shortages: Notify Harbro Supplies Limited in writing within 3 days of delivery of the consignment.
- Any other matter or thing by reason whereof he may allege that the goods are not in accordance with the contract, notify Harbro Supplies Limited within 14
days of the date of the invoice.
Title and Risk
The risk in all goods supplied by Harbro Supplies Limited shall pass upon delivery to the customer. Such goods remain the sole property of Harbro Supplies
Limited until such time as the buyer shall have paid Harbro Supplies Limited the agreed price. Until such time as the buyer becomes the owner of the goods, he
will store them on his premises separately from his own goods, or those of any other person, in a manner which makes them readily identifiable as goods of
Harbro Supplies Limited. Harbro Supplies Limited shall not be liable to the customer for any damage or for any direct consequence of any negligence on the part of
Harbro Supplies Limited or negligence or wilful default on the part of its servants or agents in or in connection with the supply of any goods.
The buyer shall be responsible for assuring that the goods are in compliance with all legal provisions and technical standards applicable in the area where
sold, and shall promptly inform Harbro Supplies Limited of any government approval or technical modification that would be required in order to ensure such
compliance.
Proper Law
The contract shall in all respects, be interpreted and enforced according to the laws of England.
